Scope & Precedence

These General Terms & Conditions (B2B) govern all purchase orders (“Order” or “Orders”) placed with KOZY LIGHT BV (see “Company Information” below), unless agreed otherwise in writing. These Terms take precedence over the Customer’s terms and conditions, unless expressly accepted by us in writing.

1. Prices

  • All price list values are recommended resale prices. We may change recommended prices with immediate effect and without prior notice.
  • Online sales below the recommended resale price are strictly prohibited.

2. Quotations

Unless stated otherwise, quotations remain valid for 30 days from the date of issue.

3. Orders & Confirmations

  • Send Orders to b2b@qoozii.com or your assigned sales representative.
  • An Order is not binding on us until we send a written order confirmation.
  • The Customer must review the order confirmation immediately and report any errors within two (2) days to b2b@qoozii.com.

4. Terms of Payment

  • Payment is due 30 days net from invoice date, unless otherwise stated.
  • Payment conditions and procedures are stated on the invoice. We may request full or partial prepayment at any time.
  • Late payments accrue interest at 1% per month (or part thereof) from the due date, without prior formal notice.
  • After formal notice of default by registered letter, any unpaid amount is increased by 12% (min. €150) as lump-sum compensation for extra-judicial costs, bearing conventional interest of 1% per month from notice.
  • We may suspend a Customer’s account if previous deliveries remain unpaid after the due date.
  • If objective elements indicate liquidity issues, we may condition fulfillment on sufficient guarantees. Related costs are borne by the Customer.

5. Reservation of Title

  • Delivered products remain our property until the full invoiced amount (including delivery charges and arrears interest) is paid.
  • Until then, the Customer may not alienate, pledge, or otherwise legally or physically transfer the goods.

6. Delivery Terms

  • The shipment date is stated on the order confirmation. Delivery times are indicative and non-binding.
  • If we cannot ship by the stated date, we will inform you without undue delay and provide a new shipment date.
  • Delays do not entitle the Customer to terminate the Order. Only if the delay exceeds 3 months and is not due to force majeure may the Customer cancel the Order; no further claims are permitted.

7. Delivery Costs

  • Any delivery charge is stated on the order confirmation.
  • Orders below the specified minimum order value may incur a delivery charge. Orders above this threshold ship free of charge.
  • We reserve the right to adjust transport terms due to increased transport charges.

8. Transportation

  • Unless expressly agreed otherwise, deliveries are Ex Works (EXW) – warehouse Boortmeerbeek, Belgium. Risk transfers to the Customer upon delivery at the place of acceptance.
  • The Customer must ensure conditions are met to take delivery at the indicated time/place; any resulting damages are borne by the Customer.
  • If the Customer refuses, prevents, or substantially delays delivery, we may terminate the Order by written notice. The Order is then deemed terminated for Customer breach and a lump-sum compensation of 35% of the total purchase price (excl. VAT) is due, without prejudice to higher proven damages.

9. Inspection & Claims

  • The Customer must inspect the delivery upon receipt: check package count, packaging, and visible defects.
  • Non-conformity or transport damage must be reserved on the delivery document (as specifically as possible) or the delivery must be rejected. We may reject claims for visible damage/quantity errors if no reservation is made.
  • Claims under this clause must be notified within five (5) days of delivery to b2b@qoozii.com including: invoice number, PO number, item number, claim description, and photo documentation.
  • We may reject claims that do not meet these requirements.
  • If approved, we decide at our sole discretion to repair, replace, or refund the purchase price. The Customer has no other financial claims unless mandatory law provides otherwise.
  • Complaints do not suspend payment obligations.

10. Warranty

  • We provide a two-year warranty on all lamps.
  • Rechargeable batteries are covered by a one-year commercial warranty.
  • The warranty does not cover defects arising from non-compliance with our assembly, use, maintenance, or care instructions; or alterations/repairs made by the Customer.
  • For LED products, a reduction in light output over time is normal and not considered a defect.
  • Hidden defects: the Customer bears the burden of proof and must notify us in writing within two (2) weeks of discovery at b2b@qoozii.com, with details and evidence.
  • We are liable only if the hidden defect becomes apparent within two years from delivery. Our remedy is limited to repair or replacement (at our discretion), free of charge. Any other liability permitted by mandatory law is limited to the amount covered by our insurance.
  • The Customer shall defend and hold us harmless from third-party claims exceeding our obligations under this clause.

11. Product Compliance & Export

  • We are responsible that products delivered comply with applicable laws/regulations in the delivery location at the time of delivery to the Customer.
  • The Customer shall not export products to countries where they do not comply with applicable requirements (including materials, labeling, packaging, technical requirements). The Customer shall indemnify and hold us harmless from any damage, loss, or claim arising from a breach.
  • Color variations are not defects; appearance may vary with display settings and environmental conditions.

12. Force Majeure

We are not in breach nor liable for any delay or failure to perform due to events beyond our reasonable control. If such a situation lasts longer than two (2) months, either party may terminate the Order by written notice, without compensation other than the refund of undelivered products.

13. Governing Law & Jurisdiction

These Terms and all contracts are governed by Belgian law. The applicability of the Vienna Convention on the International Sale of Goods (CISG) is expressly excluded. Any dispute falls under the exclusive jurisdiction of the courts of the judicial district of Leuven, division Leuven.

14. Intellectual Property & Advertising

Our written consent is required for any advertising featuring our models in magazines, newspapers, weeklies, or any other media.

15. Changes, Errors & Product Updates

  • We are not responsible for printing or price errors.
  • We may make changes or discontinue any product or part thereof without prior notice.
  • We may modify prices and models; current price lists and catalogues replace all previous versions. Models not shown are no longer produced.
  • We may modify forms, dimensions, and designs to ensure product quality.

16. Severability

If any provision is invalid or unenforceable, the remainder remains in full force. The invalid provision will be replaced by a valid one that reflects the original intent as closely as possible.
